IT IS AGREED BETWEEN YOU AND AIRWALLEX CAPITAL US LLC (REFERRED TO AS AIRWALLEX CAPITAL, WE, OUR OR US):

1. The transactions described on this confirmation (Confirm) are subject to the following terms and conditions and to any written agreement (Agreement) between you and us, to our benefit (including successors and assigns) and is final if not objected to in writing within 5 business days after such document has been transmitted to you by mail or by electronic means. Airwallex Capital reserves the right to challenge your objections.

2. Confirm disclosures will be considered with the items of any other Agreements; however, you should refer to your Agreement as your primary documents to reference regarding account/transaction matters. If any part of the Agreement is held void, unenforceable or inconsistent with any other Agreement related to this Confirm, it shall not affect the validity or enforceability of the remaining parts of this Confirm.

3. Your capacity regarding this transaction was for your own account unless you expressly specified to Airwallex Capital in writing and gave sufficient information in writing prior to the transaction for Airwallex Capital to rely upon the credit of another party or your credit in another capacity.

4. Airwallex Capital exclusively acts as an agent for the customer, and does not act in another capacity.

5. Airwallex Capital does not receive remuneration directly tied to any particular transaction. Please refer to the Airwallex Capital fee schedule for a full description of the fees that you will be paying Airwallex Capital in connection with its services.

6. Airwallex Capital does not receive payment for order flow. 

7. There are no odd-lot differential or equivalent fee in connection with any transaction.

8. In the case of any transaction in a debt security subject to redemption before maturity, such debt security may be redeemed in whole or in part before maturity, and and such redemption could affect the yield represented, and  additional information is available upon request.

9. Factors affecting yield will be furnished upon written request.

10. On written request, we will furnish the time of execution, name of the other party (if applicable), and details of compensation received from other persons when we act as their agent.

11. Any debt security subject to redemption before maturity may be redeemed or called in whole or in part before maturity, and the redemption could affect yield represented. Additional information is available upon request.

12. Transaction settlements are computed for payment in the Eastern Standard Time zone on the settlement date. 

13. Airwallex CapitalJPMS does not receive payment for order flow from market makers for customer orders in securities.
