Airwallex Startup Black Promotion Terms

These terms and conditions (‘Terms’) set out the terms and conditions of your participation in the Airwallex Startup Black Promotion (‘Promotion') operated by Airwallex US, LLC (‘Airwallex’, ‘us’, ‘our’ or ‘we’). These Terms shall form part of any applicable agreements (‘Customer Agreements’) governing the use of our services (‘Services’), including the Airwallex Commercial Card product issued by Community Federal Savings Bank (‘CFSB’) described here, and shall be construed accordingly. Capitalized terms used below shall have the same meaning given to them in the Customer Agreements unless otherwise defined in the Terms. CFSB is not a party to this Promotion or responsible for delivery of any Rewards.

By participating in the Promotion and/or receiving any Rewards, you agree to these Terms.

Who is eligible to participate in the Promotion?

Eligibility to Apply

You are eligible to apply for the Promotion if all of the following requirements are satisfied during the Promotion Period:

• you are a venture-backed, seed stage or Series A startup and have raised at least USD 500,000 in venture capital; 

• you have received an invitation directly from Airwallex (‘Invitation Link’) to participate in the Promotion;

• you have enrolled in the Promotion on the Airwallex website through the Invitation Link(s); and

• you have received a confirmation from Airwallex that you have successfully enrolled in the Promotion.

Companies that are Series B or later, or have a valuation of over USD $1 billion, are not eligible to apply for this Promotion. Airwallex reserves the right to reject applicants that do not meet all of the above baseline criteria for applying to the Promotion.  For clarity, this Promotion is not available to enterprise customers or customers who have customised pricing plans.  Meeting the baseline qualifications to apply to the Promotion does not guarantee acceptance; Airwallex will determine which applicants to accept into the Promotion in accordance with the “Individualized Review and Acceptance” section below.  The display of eligibility requirements on any marketing material, landing page, or referral link constitutes an invitation to apply and does not create a binding obligation, representation, or warranty that Airwallex will provision such rewards to any specific applicant.

Individualized Review and Acceptance

Acceptance into the Promotion is granted at Airwallex's sole and absolute discretion following an individualized review of the applicant’s business model, risk profile, and projected transaction volumes. Airwallex reserves the right to decline any application without obligation to disclose the underlying assessment criteria.  An accepted applicant will become an ‘Eligible Customer.’ 

What is the Promotion?

Product Offers

Eligible Customers are eligible to receive the following Rewards under the Promotion: 

• Card Cashback Offer: a cash rebate in United States Dollar ('USD') equal to 10% of Eligible Transactions made during the first 90 days of the Promotion Period, and 2% of Eligible Transactions made thereafter.  Cash rebates received from this offer cannot be withdrawn, and must be applied toward the Eligible Customer’s future Card spend or Service Fees.

• Fee Waiver Offer: Airwallex will waive the Eligible Customer’s Airwallex Service Fees in accordance with one of the options below:

  • Airwallex will waive Airwallex Service Fees on Customer’s Payments transactions, up to the first USD25,000,00 equivalent in transaction volume; OR

  • Airwallex will waive Airwallex Service Fees on Customer’s FX Conversions, up to the first USD10,000,000 equivalent in conversion volume.

This offer does not apply to third-party fees or costs (including network fees/costs), or any passthrough fees or assessments.  While each Eligible Customer can request a specific option for the Fee Waiver Offer from the two options above, Airwallex, in its sole discretion, will determine which option each Eligible Customer receives, based on its individualized review.  Airwallex will inform the Eligible Customer of its determination in writing (which may be by email).

The Card Cashback Offer and Fee Waiver Offer (each, an ‘Offer’ and together, the ‘Offers’) are each subject to a specific promotional limit as described above. Any unused amount of the Offers at the end of the Promotion Periods will automatically expire and will not be redeemable for cash or any other benefit.

If you reach the promotional limit for a particular Offer, only that Offer will end, and you will no longer be eligible for rewards under that Offer. The remaining Offers will continue until you reach their respective promotional limits or the Promotion Period ends, whichever occurs first.

Non-Product Offers

Eligible Customers may be entitled to receive the following Enhanced Support, Partner Perks, and Networking Benefits:

• Enhanced Support: Eligible Customers may be selected to receive a free Global Treasury Audit; white-glove migration from Brex, Mercury, Ramp, or Slash; and/or a guided API launch package from Airwallex. 

• Partner Perks: Eligible Customers may be eligible to receive free or discounted subscriptions to apps, tools, and services from Airwallex’s partners.  The available partners and discounts are subject to change, without notice, at Airwallex’s sole discretion.

• Networking Benefits: Eligible Customers may be eligible to receive direct access to Capital49; warm introductions to Airwallex’s customer and partner network; invitations to Airwallex’s founder dinner series; and/or access to a Airwallex’s founder concierge team. 

What are Eligible Transactions

To be considered transactions eligible for the Card Cashback Offer or the Fee Waiver Offer (‘Eligible Transactions’), they must be made either (i) before you reach the promotional limit for that specific Offer or (ii) before the end of the applicable Promotion Period, whichever occurs first.

• Eligible Transactions for Card Cashback Offer: transactions made using your Airwallex Card, other than Excluded Card Transactions, that are successfully authorized, posted, and not subsequently cancelled, refunded, charged back, or reversed.

• Eligible Transactions for Fee Waiver Offer - Payments Option: Payments transactions processed using your Airwallex Account.

• Eligible Transactions for Fee Waiver Offer - FX Option: FX Conversions made using your Airwallex Account.

When is the Promotion Period?

Each Offer will end once its specific promotional limit is reached, or when the applicable Promotion Period ends, whichever occurs first.  If you are approved for more than one Offer, reaching the limit or applicable Promotion Period end date for one Offer does not affect your eligibility for the remaining Offers.

• Promotion Period for Card Cashback Offer: The Promotion Period for the Card Cashback Offer begins on the Account Activation Date and extends for as long as your Airwallex Account remains in the Promotion.

• Promotion Period for Fee Waiver Offer: The Promotion Period for the Fee Waiver Offer and any Bonus Fee Waivers begins on the Account Activation Date and ends on the earlier of (i) the date on which you exhaust the amount of fee waivers for which you are approved; or (ii) the date on which your Airwallex Account ceases to be in the Promotion.

• Promotion Period for Non-Product Offers: The Promotion Period for the Non-Product Offers begins on the Account Activation Date and extends for as long as your Airwallex Account remains in the Promotion.

(each, as applicable, the ‘Promotion Period’).  Each Promotion Period set out above is subject to Airwallex’s right to terminate, suspend, or cancel the Promotion, or to amend these Terms.

What transactions are excluded?

The following transactions are not eligible for the Card Cashback Offer (‘Excluded Card Transactions’). 

• Cash or cash-like transactions, like ATM withdrawals, or cashbacks, wire transfers, and purchases of gift vouchers;

• Card present/in-person transactions;

• Balance transfers;

• Gambling transactions, including bookmakers and casinos;

• Payments connected to precious goods; commodities, investments, savings or cryptoassets;

• Payments to government bodies or tax authorities;

• Payments to financial institutions (like a credit card provider); and

• Any transactions Airwallex determines, in its sole discretion, to be ineligible or abusive.

Airwallex may from time to time publish or update lists of excluded merchant category codes (MCCs) or transaction types. These may apply to this Promotion and will form part of these Terms.

When will you receive the Reward?

For an Eligible Customer who has made any Eligible Transaction in a calendar month, the relevant Reward will be credited to the Eligible Customer’s Airwallex account on or before the second day of the next calendar month. If that day is not a business day, then the credit will be delivered the following business day. Any decimal place for Cashback will be rounded down to the nearest integer.

You will not be entitled to the Reward if:

• You close your Airwallex account before the Reward has been credited; or

• Your Airwallex account is not in good standing.

What are some other restrictions you should know?

This Promotion is not available in conjunction with any other offers, discounts, packages or promotions (as may be launched by Airwallex from time to time), unless specified by Airwallex.

The eligibility of transactions for the purpose of the Promotion is determined by Airwallex in its sole and absolute discretion from time to time. Airwallex shall not be liable to determine the eligibility of any transactions for the Promotion before they are made by the Eligible Customer.

Eligible Transactions exclude transactions including, but not limited to, those prohibited under the Customer Agreements and/or the Acceptable Use Policy and transactions of similar nature as may be determined by Airwallex in its sole discretion at any time. Eligible Transactions also exclude unposted, canceled, suspended, refunded, unauthorized, chargeback transactions and any other transaction as designated by Airwallex from time to time.

Rewards may be reversed if any Eligible Transactions (in full or in part) are subsequently canceled, suspended, frozen or refunded. Airwallex also reserves the right to debit the amount of the Reward from your account without prior notice where any fraud, abuse or unlawful conduct has occurred.

Rewards cannot be transferred to third parties or other accounts, or exchanged for any other gifts, returned or exchanged for other products or services.

Airwallex will not accept any liability if any information submitted by any third party service providers, network providers, software and applications (including but not limited to Visa) to Airwallex has been delayed, lost, invalid or unidentifiable due to any technical problems of the computers or networks. Indemnification and Limitation of Liability

You indemnify, defend and hold harmless Airwallex and its affiliates (collectively, the ‘Airwallex Group’) and the Airwallex Group’s officers, directors, employees, advisors, agents, and subcontractors from and against any loss, damage or expense (including reasonable attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against the Airwallex Group by a third party or suffered by the Airwallex Group in connection with or as a result of your breach of this Agreement, failure to comply with applicable law or your use or misuse of the Promotion.

To the maximum extent permitted by applicable law, neither Airwallex nor any of its Affiliates will be liable to you, your Affiliates or any other person in relation to these Terms (during and after the term of these Terms), whether in contract, negligence, strict liability, tort or other legal or equitable theory, for losses, damages or costs.

Termination and changes

The time period to apply for the Promotion expires on 31 December 2027, 23:59 PST, unless otherwise extended, terminated, suspended, canceled, or shortened by Airwallex. Your participation in the Promotion is not guaranteed and may be revoked at any time in Airwallex’s sole and absolute discretion. Airwallex reserves the right to amend these Terms, including the Promotion Period and the Reward, or cancel, suspend or amend this Promotion (or any part of it) at any time without prior notice. Should any disputes arise, the decision of Airwallex shall be final and conclusive.

For the avoidance of doubt, Airwallex reserves the right, at our sole and absolute discretion, to suspend or cancel offering the Promotion to you if we suspect that you are abusing or using the Promotion in a fraudulent or unlawful manner or for a fraudulent or unlawful purpose or if you are in breach of any of these Terms or the Customer Agreements or any of our terms and conditions you have agreed to with Airwallex. In case of any fraud, abuse, reversal, cancellation or chargeback of transactions in respect of which the relevant Reward is awarded, Airwallex reserves the right to debit the equivalent amount of the relevant Reward from the Eligible Customer's Airwallex account without prior notice.

You are advised to keep records of the relevant Eligible Transactions. In case of any disputes, Airwallex reserves the right to require the Eligible Customer to provide such records or submit relevant documents or proofs for verification purpose. Submitted documents or proofs will not be returned. The decision of Airwallex regarding the eligibility of relevant transactions shall be final and conclusive.

In case of any conflict between these Terms and the Customer Agreements, these Terms shall prevail.

Any personal information that you provide to us will be used in accordance with the Airwallex Services Agreement, and the privacy policies available at https://www.airwallex.com/us/terms/privacy-policy, as applicable.
