These terms and conditions (‘Terms’) apply to your participation in the Airwallex Two Months 2% Card Cashback Promotion (‘Promotion') operated by Airwallex (Hong Kong) Limited (‘Airwallex’, ‘us’, ‘our’ or ‘we’). These Terms shall form part of any applicable agreements (‘Customer Agreements’) governing the use of card products issued by Airwallex to you and/or your employees (‘Airwallex Employee Card’) and shall be construed accordingly. Capitalised terms used below shall have the same meaning given to them in the Customer Agreements unless otherwise defined in the Terms.

By participating in the Promotion and/or receiving the Cashback (as defined below), you agree to these Terms.

Who is eligible to participate in the Promotion?

You are eligible to participate in the Promotion and become an ‘Eligible Customer’ if all of the following requirements are satisfied:

a. you have received an invitation directly from a referral partner designated by Airwallex (‘Invitation Link’) to participate in the Promotion;

b. you have enrolled in the Promotion through the Invitation Link during the Promotion Period (as defined below);

c. you have signed up as a new customer of Airwallex and you have been onboarded by Airwallex following satisfaction of all requirements from Airwallex (including the onboarding Know Your Customer (KYC) requests) within 20 calendar days after enrolling in the Promotion through the Invitation Link (‘Onboarding’);

d. you are a company incorporated in Hong Kong with a valid business registration certificate to carry on business in Hong Kong; and

e. at the time of your enrollment in the Promotion, you are not an existing customer of Airwallex and / or its affiliates (collectively the ‘Airwallex Group’) and you have not, at any time previous to your enrollment in the Promotion, been a customer of the Airwallex Group.

Airwallex reserves the right to determine who it invites to participate in the Promotion.

What is the Promotion Period (‘Promotion Period’)?

This Promotion commences on 22 November 2022, 00:00 HKT and ends on 31 December 2023, 23:59 HKT, unless extended or shortened by Airwallex.

What is the Promotion?

Eligible Customers will be entitled to receive a cash rebate (‘Cashback’) in United States Dollars (‘USD’) equal to two (2) percent of the amount of all eligible domestic and international transactions (‘Eligible Transactions’) made using the Airwallex Card for a period of two consecutive calendar months immediately following the month in which your Onboarding is satisfied (‘Cashback Period’), up to a maximum amount of USD130 each calendar month during the Cashback Period. For example, if you complete your Onboarding on 28 November 2022, assuming that you satisfy all the other requirements to become an Eligible Customer as set out above before such date, the Cashback Period commences on 1 December 2022 and ends on 31 January 2023 (both dates inclusive).

When will you receive the Cashback?

For transactions made in a calendar month, the relevant Cashback will be credited into your Airwallex account before the end of the next calendar month. If you close your Airwallex account, we will be unable to pay your Cashback. Your Airwallex account must be in good standing to receive your Cashback.

Is there any cost to participate in the Promotion?

Airwallex does not charge you any cost, fee or expense to participate in the Promotion.

What are some other restrictions you should know?

This Promotion is not available in conjunction with any other offers, discounts, packages or promotions (as may be launched by Airwallex from time to time), unless specified by Airwallex.

The eligibility of transactions for the purpose of the Promotion is determined by Airwallex in its sole and absolute discretion from time to time. Airwallex shall not be liable to determine the eligibility of any transactions for the Promotion before they are made by the Eligible Customer.

Eligible Transactions exclude transactions including but not limited to those expressly prohibited under and not supported by our Services pursuant to the Customer Agreements and/or the Acceptable Use Policy and transactions of similar nature. Eligible Transactions also exclude unposted, cancelled, suspended, refunded, unauthorized, charge back transactions and any other transaction as designated by Airwallex from time to time.

Cashbacks may be reversed if any Eligible Transactions (in full or in part) are subsequently cancelled, suspended, frozen or refunded. Airwallex also reserves the right to debit the Cashbacks from your account without prior notice where any fraud, abuse or unlawful conduct has occurred.

Cashback cannot be transferred to third parties or other accounts, or exchanged for any other gifts, returned or exchanged for other products or services.

Airwallex will not accept any liability if any information submitted by any third party service providers, network providers, software and applications (including but not limited to Visa) to Airwallex has been delayed, lost, invalid or unidentifiable due to any technical problems of the computers or networks. No person other than the Eligible Customer and Airwallex (includes its successors and assigns) will have any right under the Contracts (Rights of Third Parties) Ordinance (Cap 623) to enforce or enjoy the benefit of any of the provision of these Terms.

Indemnification

The Eligible Customer shall indemnify, defend and hold harmless the Airwallex Group and its officers, directors, employees, advisors, agents, and subcontractors from and against any loss, damage or expense (including reasonable attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against the Airwallex Group by a third party or suffered by the Airwallex Group in connection with or as a result of the Eligible Customer’s breach of this Agreement, failure to comply with applicable law or the Eligible Customer’s use or misuse of the Promotion.

Termination and changes

This Promotion expires on 31 January 2023, 23:59 HKT, unless extended or shortened by Airwallex. Your participation in the Promotion is not guaranteed and may be revoked at any time in Airwallex’s sole discretion.

Airwallex, acting reasonably in its sole and absolute discretion, may at any time and without prior notice, cancel, suspend, or change the Promotion or any part of it. However, such discontinuation, suspension or change will not affect any Cashback already earned.

Further, Airwallex reserves the right, at our sole and absolute discretion, to suspend or cancel offering the Promotion to you if we suspect that you are using the Promotion in a fraudulent or unlawful manner or for a fraudulent or unlawful purpose or if you are in breach of any of these Terms or the Customer Agreements or any of our terms and conditions you have agreed to with Airwallex.

Privacy & security

Any personal information that you provide to us will be used in accordance with our Privacy Policy.

Governing law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
