1. About These Terms

These referral terms and conditions ("Referral Terms") govern the submission of a referral (“Referral”) by you (“you” or “Referrer”) through the Online Startup Finance 30 referral form for the Startup Finance 30 campaign (“Program”) administered by Airwallex US, LLC (“Airwallex”, “we”, “us”, or “our”).

By submitting a Referral, you agree to be bound by these Referral Terms.

These Referral Terms govern only Referrals for the Program. All other aspects of the Program are governed by a separate set of terms and conditions, including without limitation, eligibility, review and selection, confidentiality, applicant personal information handling, and publicity rights (“Program Terms”).

In the event of any inconsistency between these Referral Terms and the Program Terms, the Program Terms will prevail.

2. Information We Collect

For the purposes of the Referral, you will be asked to provide:

1. the name and LinkedIn URL of the referred individual (“Referee”), and may optionally provide their email address;
2. your name and email address; and
3. a brief written statement (“Referral Statement”) of no more than one sentence explaining why the Referee is deserving of recognition,

(collectively, “Referral Materials”).

3. What Happens When You Refer Someone

Submitting a Referral does not constitute a submission to the Program.

If a Referral is accepted, Airwallex may contact the Referee to invite them to complete their own submission to the Program.

The Referee will know that they have been suggested for the Program by you.

Referring someone does not guarantee that they will be contacted, that they will complete a submission, or that they will be selected for inclusion in the recognition list.

4. Use and Protection of Referral Materials

Any Referral Materials we collect will be used solely to administer the Program, including to:

1. evaluate your Referral and to contact the Referee; and
2. to inform the Referee that they have been Referred by you.

The provision of Referral Materials is voluntary. However, if you do not provide the required Referral Materials, Airwallex may not be able to process your Referral.

Referral Materials may be shared with Airwallex, its affiliates, and their respective officers, directors, employees, agents and service providers and contractors engaged in administering the Program.

Both you and the Referee may request removal of their personal information from the Program by contacting Airwallex, and Airwallex will use reasonable endeavors to comply with such requests, subject to any legal or regulatory obligations requiring retention.

All Referral Materials will be handled in accordance with Airwallex's Privacy Policy (as amended, updated or replaced from time to time).

5. Your Responsibilities as Referrer

By submitting a Referral, you warrant and represent that, before submitting any Referral Materials about the Referee, you have obtained that Referee's prior consent, evidenced in writing, to your disclosure of their name, LinkedIn URL, and (if provided) email address to Airwallex for the purposes described in these Referral Terms.

You must not submit any information about any Referee unless you hold their written permission to do so.

You further warrant that all information you submit about the Referee (including any Referral Statement) is accurate and submitted in good faith, and that your referral is not made for any fraudulent, malicious, or abusive purpose, including as a prank, hoax, or to harass or embarrass the Referee.

You warrant and represent that the Referral Statement and any other content you submit as part of the Referral Materials:

1. is not false, misleading, defamatory, libelous, or disparaging of any person or entity;
2. is not obscene, offensive, discriminatory, hateful, or otherwise objectionable;
3. does not infringe or misappropriate any third party’s intellectual property rights, privacy rights, or other proprietary rights; and
4. does not otherwise violate any applicable law, regulation, or third-party right.

By submitting a Referral Statement, you grant Airwallex a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, display, and distribute the Referral Statement (in whole or in part) in connection with the Program, including in any promotional or marketing materials related to the Program, without further notice or compensation to you.

Airwallex reserves the right, in its sole discretion, to review, edit, refuse, or remove any Referral Statement or other Referral Materials at any time and for any reason, without notice or liability to you.

You agree to indemnify and hold harmless Airwallex, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your failure to obtain the Referee's written consent before submitting their information; (b) any breach of any warranty, representation, or obligation of the Referrer under these Terms; (c) any misuse or abuse of the Referral process by you, including any fraudulent, malicious, or abusive Referrals; or (d) any claim by a third party that any Referral Statement or other content you submitted is defamatory, infringing, unlawful, or otherwise causes harm to such third party.

6. Amendments

Airwallex may terminate the Referral or the Program or amend these Referral Terms at any time on notice to you or by posting a revised version of these Terms.

7. Governing law and jurisdiction

These Referral Terms are governed by and construed in accordance with the laws of the State of California, and the parties submit to the exclusive jurisdiction of the state courts located in the City and County of San Francisco.
