Introduction

These Terms and Conditions ("Terms") govern your participation in the Card Cashback Promotion ("Promotion") offered by Airwallex (New Zealand) Limited (NZBN 9429048910057) ("Airwallex," "we," "us," or "our"). These Terms are incorporated into and form part of the Customer Agreements between you ("Participant") and us ("Customer Agreements") regarding the use of our services ("Services") and shall be interpreted as such. Capitalised terms not defined herein shall have the meanings assigned to them in the Customer Agreements.

1. Promoter Details

Airwallex (New Zealand) Limited (NZBN 9429048910057), located at Suite 303, Floor 3, 87 Albert Street, Auckland Central, Auckland, 1010, New Zealand, is the promoter of this Promotion.

2. Eligibility Criteria

To be eligible for the Promotion, Participants must (“Eligible Participants”):

• be a new or existing customer of Airwallex with a valid NZBN;

• have enrolled in the Promotion via the designated link provided by Airwallex or method specified in Airwallex’s Promotional Material (which may be delivered to you via email, social media post, webpage banner or other format) within the timeframe specified in the Promotional Material, unless the offer is withdrawn or extended by Airwallex prior; and

• have been onboarded by Airwallex as a customer following satisfaction of all our requirements (including the onboarding know-your-customer requests).

3. Promotion Details

Participants in this Promotion will be entitled to receive a certain percentage of cashback rebate “‘Cashback”) on eligible card spend during the Promotion Period, as described in the Promotional Material (“Eligible Transactions”).

The Cashback will be calculated in the transaction currency. If the transaction currency is not the same as your billing currency, the Cashback will be converted at the prevailing FX Exchange Rate (as defined in our Treasury Management Terms) into your billing currency on the last date of the relevant month when the international transactions took place, before it is credited to your account.

Certain Cashback Promotions may be subject to additional terms and limitations as specified in the Promotional Material, including but not limited to:

• A minimum monthly transaction volume threshold (e.g., cashback only applies if spending exceeds certain amount of NZD or USD); and/or

• A maximum cashback cap (e.g., cashback will only be provided up to a limit of a certain amount of NZD or USD per month).

Participants should refer to the Promotional Material for full details of applicable thresholds and limits.

4. Promotion Period and Expiration

The Promotion Period will commence and end as specified in the Promotional Material, unless otherwise extended or shortened as notified by Airwallex. Benefits must be claimed or utilised within this timeframe. 

5. Fee

During the Promotion, the standard rates as shown on our Fee Schedule will apply to your transactions. 

6. Acceptance

By participating in the Promotion, Participants accept these Terms and agree to be bound by them, effective as of the earliest of their written acceptance or the enrolment in the Promotion.

7. Exclusivity

This Promotion cannot be used in conjunction with any other offers unless specified by Airwallex.

8. Rights Reserved

Airwallex reserves the right to modify, suspend, or cancel the Promotion as necessary.

9. Termination

This Promotion will automatically end at the conclusion of the promotional period specified in the promotional material, unless extended, shortened, suspended, or cancelled earlier by Airwallex at its discretion. This Agreement will also automatically terminate if the Participant's Customer Agreement with Airwallex is terminated for any reason. Airwallex reserves the right to amend these Terms or cancel, suspend, or amend this Promotion at any time without prior notice.

10. Use of Personal Information

Any personal information provided to Airwallex in connection with this Promotion will be used in accordance with our Privacy Policy.

11. Transferability

We may assign or transfer our rights and obligations under this Agreement to another entity by posting such an event on this webpage (if this happens). Participants may not transfer their rights or obligations under these Terms without our written consent. 

12. No Third-party Rights

These Terms create rights and obligations only between the Participant and Airwallex; no third party may enforce any terms herein.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of New Zealand, and Participants agree to submit to the exclusive jurisdiction of the courts in New Zealand.

15. Additional General Terms

• Indemnification: Eligible Participants agree to indemnify, defend and hold harmless the Airwallex group and its officers, directors, employees, advisors, agents, and subcontractors from and against any loss, damage or expense (including reasonable attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against the Airwallex group by a third party or suffered by the Airwallex group in connection with or as a result of the Eligible Participants’ breach of these Terms, failure to comply with applicable law or the Eligible Participants’ use or misuse of the Promotion.

• Airwallex will not accept any liability if any information submitted by any third party service providers, network providers, software and applications (including but not limited to Visa) to Airwallex has been delayed, lost, invalid or unidentifiable due to any technical problems of the computers or networks. • The eligibility of transactions for the purpose of the Promotion is determined by Airwallex in its sole and absolute discretion from time to time. Airwallex shall not be liable to determine the eligibility of any transactions for the Promotion before they are made by the Eligible Participant. 

• Eligible Transactions exclude transactions including but not limited to those expressly prohibited under and not supported by our Services pursuant to the Customer Agreements and/or the Acceptable Use Policy and transactions of similar nature. Eligible Transactions also exclude unposted, cancelled, suspended, refunded, unauthorized, charge back transactions and any other transaction as designated by Airwallex from time to time.

• Cashbacks may be reversed if any Eligible Transaction (in full or in part) is subsequently cancelled, suspended, frozen or refunded. Airwallex also reserves the right to debit the Cashbacks from your account without prior notice where any fraud, abuse or unlawful conduct has occurred.

• Conflict Resolution: In the event of a conflict between these Terms and any Customer Agreement, these Terms shall prevail.
