These terms and conditions (‘Terms’) set out the terms and conditions of your participation in the “HK Airwallex Visa Card SaaS & AI tools 50% Cash Rebate Campaign” (‘Promotion') operated by Airwallex (Hong Kong) Limited (‘Airwallex’, ‘us’, ‘our’ or ‘we’). These Terms shall form part of any applicable agreements between you (‘Participant’, ‘you’) and us (‘Customer Agreements’) governing the use of our services (‘Services’), including the card products issued by Airwallex to you (‘Airwallex Card’) and shall be construed accordingly. Capitalised terms used below shall have the same meaning given to them in the Customer Agreements unless otherwise defined in the Terms.

By participating in the Promotion and/or receiving the Cashback (as defined below), you agree to these Terms.

Who is eligible to participate in the Promotion?

You are eligible to participate in the Promotion and become an ‘Eligible Customer’ if all of the following requirements are satisfied prior to 31 December 2026 (“Final Sign-Up Date”) during the Promotion Period:

• you are an entity incorporated in Hong Kong, a new customer of Airwallex onboarded in Hong Kong on or after 13 July 2026, and have not used any Airwallex’s services prior to the Promotion;
• you are a selected Airwallex customer which has received an invitation directly from Airwallex (‘Invitation Link’) to participate in the Promotion (as defined below);
• you have enrolled in the Promotion on the Airwallex webapp through the Invitation Link(s);
• you have received a confirmation on the Airwallex webapp that you have successfully enrolled in the Promotion; and
• you have completed your first transaction using an Airwallex Card within 14 calendar days of receiving email confirmation that you have successfully onboarded as a new Customer (following the fulfillment of all requirements set by Airwallex, including know-your-customer (“KYC”) requests) (the ‘Account Activation Date’).

Airwallex reserves the right to determine who it invites to participate in the Promotion. Each Eligible Customer may participate in this Promotion once only. For the avoidance of doubt, if an Eligible Customer has previously participated in this Promotion, they shall not be entitled to participate again.

What is the Promotion?

Eligible Customers are entitled to receive Cashback on Eligible Transactions made during the Cashback Period (all capitalised terms used in this paragraph are defined below).

What is Cashback?

Each Eligible Customer is entitled to receive a “50% Limited-Time Cashback” (or “Cashback”, as described below) for a period starting from the Account Activation Date.

This Cashback offer will apply to any Eligible Transaction occurring, starting from your Account Activation Date until the earlier of: (i) 90 calendar days from your Account Activation Date, or (ii) 90 days from the end of the Promotion Period (the ‘Cashback Period’). For the avoidance of doubt, the final date on which an Eligible Transaction must occur in order for this Cashback to apply is 31 March 2027 (which marks 90 calendar days from the end of the Promotion Period) or earlier (if the 90-day period from the Account Activation Date ends prior to 31 March 2027).

The 50% Limited-Time Cashback will be provided as follows:

(i) The Cashback will be in United States Dollars ("USD") and will equal 50% of the amount of Eligible Transactions (as defined below). This applies to both Hong Kong Dollar ("HKD") and non-HKD transactions;

(ii) During the Cashback Period, an Eligible Customer may receive Cashback on up to HK$1,000 (or its equivalent in non-HKD currencies) of Eligible Transactions in each consecutive 30 calendar day period, and HK$3,000 (or its equivalent in non-HKD currencies) in aggregate. In other words, the maximum Cashback an Eligible Customer may receive during the Cashback Period under this Promotion is HK$500 (or its equivalent in non-HKD currencies) in each such 30 calendar day period, and HK$1,500 (or its equivalent in non-HKD currencies) in aggregate.

This 50% Limited-Time Cashback is exclusive and cannot be combined, applied, or used in conjunction with any other offers, promotions, discounts, or incentives provided by Airwallex, unless otherwise expressly stated in writing by Airwallex.

What are Eligible Transactions?

'Eligible Transaction' means an Eligible HKD Transaction or Eligible Non-HKD Transaction that is made at one of the following selected SaaS merchants ('Eligible Merchants'): Google, Shopline, Shopify, Slack, Xero, Cursor, Canva, Notion, Wati, Zapier, HubSpot, Upwork, Perplexity, Zoom, Microsoft, Cloudflare, Poe, Deepseek, Otter.ai, Jasper, and Manus.

'Eligible HKD Transaction' means a Hong Kong dollars ('HKD') transaction of any amount made by Eligible Customers using the Airwallex Card.

'Eligible Non-HKD Transaction' means a non-HKD transaction with an amount of USD 30 or above made by Eligible Customers using the Airwallex Card.

For the avoidance of doubt, the determination of whether a transaction is made at an Eligible Merchant is based on the merchant name descriptor as it appears in the card network data received by Airwallex. Airwallex does not control how merchants register their names or descriptors with their payment processors or acquiring banks. Airwallex shall not be liable for any disputes arising from the merchant name classification of any transaction.

'Excluded Transaction' means any HKD or non-HKD transaction made by Eligible Customers using the Airwallex Card with the following merchant or merchant categories:

• Charities
• Tax Payments
• Government Services (Not Elsewhere Classified)
• Fines
• Electronics Stores
• U.S. Federal Government Agencies or Departments
• Court Costs, Including Alimony and Child Support
• Postal Services – Government Only
• Miscellaneous Food Stores – Convenience Stores and Specialty Markets
• Insurance Sales, Underwriting, and Premiums
• Direct Marketing – Insurance Services
• Fast Food Restaurants
• Parking Lots, Parking Meters and Garages
• Movie Theaters, Motion Picture Theaters
• Cable, Satellite and Other Pay Television/Radio/Streaming Services
• Theatrical Producers (Except Motion Pictures) and Ticket Agencies
• Real Estate
• Colleges, Universities, Professional Schools, and Junior Colleges
• Elementary and Secondary Schools
• Correspondence Schools
• Business and Secretarial Schools
• Vocational and Trade Schools
• Schools and Educational Services (Not Elsewhere Classified)
• Non-Financial Institutions – Foreign Currency, Liquid and Cryptocurrency Assets (for example: Cryptocurrency), Money Orders (Not Money Transfer), Account Funding (not Stored Value Load), Travelers Cheques, and Debt Repayment
• Non-Financial Institutions – Stored Value Card Purchase/Load

When will you receive Cashback?

For an Eligible Customer who has made any Eligible Transaction in a calendar month, the relevant Cashback will be credited to the Eligible Customer’s Airwallex account on or before the end of the next calendar month. Any decimal place for Cashback will be rounded down to the nearest integer.

You will not be entitled to the Cashback if:

• You close your Airwallex account before the Cashback has been credited; or
• Your Airwallex account is not in good standing.

When is the Promotion Period?

'Promotion Period' means the period that commences on 13 July 2026, 00:00 Hong Kong time and ends on 31 December 2026, 23:59 Hong Kong time (both dates inclusive), unless otherwise notified by Airwallex.

For clarity, the Final Sign-Up Date is 31 December 2026 (as detailed in the section 'Who is eligible to participate in the Promotion'), and the last date for Eligible Transaction is 31 March 2027 (as outlined in the section 'What is Cashback?').

Is there any cost to participate in the Promotion?

Airwallex does not charge you any cost, fee or expense to participate in the Promotion.

Acceptance

By participating in this Promotion, the Participant acknowledges and agrees to be bound by these Terms and the applicable terms in the Invitation Link and Customer Agreements.

Participation in the Promotion constitutes the Participant’s acceptance of these terms. If a Participant does not agree to these terms, you must not participate in the Promotion.

What are some other restrictions you should know?

This Promotion is not available in conjunction with any other offers, discounts, packages or promotions (as may be launched by Airwallex from time to time), unless specified by Airwallex. Each Eligible Customer may participate in this Promotion once only.

The eligibility of transactions for the purpose of the Promotion is determined by Airwallex in its sole and absolute discretion from time to time. Airwallex shall not be liable to determine the eligibility of any transactions for the Promotion before they are made by the Eligible Customer.

Eligible Transactions exclude transactions including but not limited to those expressly prohibited under and not supported by our Services pursuant to the Customer Agreements and/or the Acceptable Use Policy and transactions of similar nature. Eligible Transactions also exclude unposted, cancelled, suspended, refunded, unauthorized, charge back transactions and any other transaction as designated by Airwallex from time to time.

The Promotion is available on a first-come-first-serve basis.

Cashbacks may be reversed if any Eligible Transactions (in full or in part) are subsequently cancelled, suspended, frozen or refunded. Airwallex also reserves the right to debit the Cashbacks from your account without prior notice where any fraud, abuse or unlawful conduct has occurred.

Cashback cannot be transferred to third parties or other accounts, or exchanged for any other gifts, returned or exchanged for other products or services.

Airwallex will not accept any liability if any information submitted by any third party service providers, network providers, software and applications (including but not limited to Visa) to Airwallex has been delayed, lost, invalid or unidentifiable due to any technical problems of the computers or networks. For more details on this topic, please refer to the Customer Agreements. No person other than the Eligible Customer and Airwallex (includes its successors and assigns) will have any right under the Contracts (Rights of Third Parties) Ordinance (Cap 623) to enforce or enjoy the benefit of any of the provision of these Terms.

Indemnification

The Eligible Customer shall indemnify, defend and hold harmless the Airwallex Group and its officers, directors, employees, advisors, agents, and subcontractors from and against any loss, damage or expense (including reasonable attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against the Airwallex Group by a third party or suffered by the Airwallex Group in connection with or as a result of the Eligible Customer’s breach of these Terms, failure to comply with applicable law or the Eligible Customer’s use or misuse of the Promotion.

Limitation of Liability

To the maximum extent permitted by applicable law, neither Airwallex nor any of its Affiliates will be liable to you, your Affiliates or any other person in relation to these Terms (during and after the term of these Terms), whether in contract, negligence, strict liability, tort or other legal or equitable theory, for losses, damages or costs.

Termination and changes The Promotion expires on 31 December 2026, 23:59 Hong Kong time, unless otherwise extended or shortened by Airwallex.

Your participation in the Promotion is not guaranteed and may be revoked at any time in Airwallex’s sole and absolute discretion.

Airwallex reserves the right to amend these Terms or cancel, suspend or amend this Promotion (or any part of it) at any time without prior notice.

Should any disputes arise, the decision of Airwallex shall be final and conclusive.

For the avoidance of doubt, Airwallex reserves the right, at our sole and absolute discretion, to suspend or cancel offering the Promotion to you if we suspect that you are abusing or using the Promotion in a fraudulent or unlawful manner or for a fraudulent or unlawful purpose or if you are in breach of any of these Terms or the Customer Agreements or any of our terms and conditions you have agreed to with Airwallex.

In case of any fraud, abuse, reversal, cancellation or charge back of transactions in respect of which the relevant Cashback is awarded, Airwallex reserves the right to debit the equivalent amount of the relevant Cashback from the Eligible Customer's Airwallex account without prior notice.

Eligible Customers are advised to keep records of the relevant Eligible Transactions. In case of any disputes, Airwallex reserves the right to require the Eligible Customer to provide such records or submit relevant documents or proofs for verification purpose. Submitted documents or proofs will not be returned.

The decision of Airwallex regarding the eligibility of relevant transactions shall be final and conclusive.

In case of any conflict between these Terms and Customer Agreements, these Terms shall prevail.

Privacy & security

Any personal information that you provide to us will be used in accordance with our Privacy Policy.

Governing law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
