By submitting an integration idea, concept, proposal, or any other related materials (collectively, the "Submission") to Airwallex US, LLC or any of its affiliates (“Airwallex”) in connection with the Airwallex AI Sandbox program, you acknowledge and agree to the following:

1. No Obligation. Airwallex is under no obligation to review, evaluate, respond to, use, license, develop, or compensate you for any Submission. Selection as a finalist, winner, or proof-of-concept ("POC") partner does not obligate Airwallex to proceed with any POC, pilot, integration, commercial arrangement, or further engagement.

2. No Confidentiality. Airwallex does not assume any confidentiality obligation with respect to your Submission unless a separate written confidentiality or non-disclosure agreement is executed by Airwallex. You should not include any information in your Submission that you consider confidential or proprietary unless you are comfortable with it being treated as non-confidential.

3. Intellectual Property Representation and Undertaking. You represent and warrant that your Submission: (a) is your own original work or that you otherwise hold all rights necessary to submit it; (b) does not incorporate, and is not derived from, any third-party intellectual property, open-source software or components, confidential information of any other person or entity, or materials obtained in violation of any third party's rights, in each case in a manner that would impose any license, disclosure, attribution, or other obligation on Airwallex or restrict Airwallex's ability to freely use, develop, or commercialize any resulting work; and (c) does not infringe, misappropriate, or otherwise violate any patent, copyright, trademark, trade secret, or other intellectual property or proprietary right of any third party.

4. Independent Development. Airwallex may already be developing, or may independently develop, evaluate, or pursue, ideas, features, or integrations that are similar or identical to your Submission. Submitting your idea does not grant you any exclusivity, priority, or right to prevent Airwallex from pursuing such similar or identical concepts, whether developed internally or sourced from other participants or third parties.

5. License. By submitting, you grant Airwallex a non-exclusive, royalty-free, worldwide license to review, evaluate, reproduce, and internally discuss your Submission solely for purposes of administering this competition and considering potential POC opportunities. You retain ownership of your Submission, subject to this license and to any separate written agreement Airwallex may enter into with you regarding a specific POC or commercial arrangement.

6. No Compensation. No compensation, fee, or other consideration is owed for the Submission itself. Any compensation, licensing terms, or commercial terms relating to a potential POC or further engagement will be governed exclusively by a separate written agreement negotiated and executed between you and Airwallex.

7. As-Is Basis. Submissions are accepted on an "as-is" basis, and Airwallex makes no representations or warranties regarding the competition, selection process, or any future POC opportunity.
