Introduction

These Terms and Conditions ("Terms") govern your participation in the “Pay It Forward” Incentive Campaign ("Campaign") offered by Airwallex (Canada) International Payments Limited ("Airwallex," "we," "us," or "our"). These Terms are incorporated into and form part of the customer agreements between you ("Participant", “you”) and us ("Customer Agreements") regarding the use of our services ("Services") and shall be interpreted as such. Capitalised terms not defined herein shall have the meanings assigned to them in the Customer Agreements.

Eligibility Criteria

To be eligible for the Campaign, a Participant must satisfy all of the following conditions (a Participant who meets all the conditions and requirements under these Terms is an “Eligible Participant”):

• The Participant has not signed up to an Airwallex account prior to participating in the Campaign.

• The Participant has received an email invitation directly from Airwallex (“Invitation Email”) containing a referral link to participate in the Campaign.

• The Participant successfully creates an account with Airwallex following these Terms and through the referral link provided in the Invitation Email.  

• Within 14 days of the date of the Invitation Email, the Participant has submitted to Airwallex all the know-your-customer (“KYC”) documentation as requested by Airwallex for purposes of Airwallex verifying the Participant’s business and has received a written KYC submission approval from Airwallex.

• The Participant is in compliance with these Terms, the Customer Agreements and applicable laws. 

• The Participant has received written confirmation from Airwallex that they meet all the conditions and requirements set out herein.

Campaign Reward

• The Eligible Participant who meets all the conditions and requirements outlined in these Terms and in the Invitational Email (including the eligibility criteria above and the reward conditions below), will receive a one-time benefit of the lesser of (a) three months of fee-free FX transactions, and (b) fee-free FX transactions for a maximum of CAD 250,000 FX conversion volume (“Reward”).

• The Reward is only available for a period of three consecutive calendar months, beginning in the second full calendar month after the Participant receives written KYC approval from Airwallex (“Reward Period”). After the Reward Period expires, the Reward is no longer available and any unused part of the Reward is forfeited.

• Once the Reward Period expires or you reach CAD 250,000 of total FX conversion volume (whichever occurs first), you will be charged standard rates as shown on our Fee Schedule available here, or at any other pricing that has been separately agreed upon between the Participant and Airwallex.

• The Reward is non-transferable, cannot be exchanged for cash, and is limited to one per Eligible Participant.

Reward Conditions

• The Reward will only be activated in your Airwallex account after the relevant conditions are met, beginning in the second full calendar month after you receive written KYC approval from Airwallex.

• In order to receive the Reward in a given calendar month, the Participant must achieve an aggregate FX transaction volume and/or Card spend of at least CAD 10,000 in the preceding calendar month.  For any month in which the Participant does not achieve at least CAD 10,000 of FX transaction volume and/or Card spend in the preceding month, the Participant will be charged standard rates as shown on our Fee Schedule available here, or at any other pricing that has been separately agreed upon between the Participant and Airwallex.

• Any incomplete steps, such as incomplete KYC or not meeting the criteria set out in the Invitation Email or the conditions or requirements herein, will disqualify the Participant from the Reward.

• Airwallex reserves the right to withhold the Reward in cases of suspected fraud or misuse of the Campaign or any breach by you of these Terms, the Customer Agreements, or applicable laws.

Campaign Period

The Campaign commences on the date specified in the Invitation Email and ends when Airwallex removes the Campaign sign-up from its site (“Campaign Period”). To qualify for the Campaign Reward, a Participant must satisfy all the conditions and requirements under these Terms. Any failure to meet the conditions and requirements, including failure to meet the aforementioned timeframe, will disqualify you from the Reward. Airwallex reserves the right to modify or terminate the Campaign at any time with notice.

Acceptance

By participating in this Campaign, the Participant acknowledges and agrees to be bound by these Terms and the applicable terms in the Invitation Email and Customer Agreements. Participation in the Campaign constitutes their acceptance of these terms. If a Participant does not agree to these terms, they must not participate in the Campaign.

Exclusivity

This Campaign cannot be used in conjunction with any other offers, discounts, packages or promotions (as may be launched by Airwallex from time to time), unless specified by Airwallex in writing.

Rights Reserved

Airwallex reserves the right to modify, suspend, or cancel the Campaign as it deems necessary.

Use of Personal Information

Any personal information provided to Airwallex in connection with this Campaign will be used in accordance with our Privacy Policy and applicable laws.

Transferability

Participants may not transfer their rights or obligations under these Terms without our prior written consent.

No Third-party Rights

These Terms create rights and obligations only between the Participant and Airwallex. No person other than the Participant and Airwallex will have any right under the Contracts or enjoy the benefit of any of the provision of these Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the province of Ontario and the federal laws of Canada.

Additional Terms

• Indemnification: The Participant shall indemnify, defend and hold harmless Airwallex, each other member of the Airwallex Group and their respective officers, directors, employees, advisors, agents and subcontractors (“Indemnified Persons”) from and against any loss, damage or expense (including attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against any Indemnified Person by a third party or suffered by any Indemnified Person in connection with or as a result of the Participant’s breach of these Terms or the Customer Agreements, failure to comply with applicable law or the Participant’s use or misuse of the Campaign.

• Limitation of Liability: To the maximum extent permitted by applicable law, neither Airwallex nor any of its Affiliates will be liable to you, your Affiliates or any other person in relation to these Terms (during and after the term of these Terms), whether in contract, negligence, strict liability, tort or other legal or equitable theory, for losses, damages or costs. 

• Conflict Resolution: In the event of a conflict between these Terms and any Customer Agreement, these Terms shall prevail.
