Airwallex AU | Airwallex for Startups Promotion Terms

These Terms and Conditions ("Terms") govern your participation in the Airwallex for Startups Promotion ("Promotion") offered by Airwallex Pty Ltd AFSL 487221 ("Airwallex," "we," "us," or "our"). These Terms are incorporated into and form part of the Customer Agreements between you ("Participant") and us ("Customer Agreements") regarding the use of our services ("Services") and shall be interpreted as such. Capitalised terms not defined herein shall have the meanings assigned to them in the Customer Agreements.

1. Promoter Details

Airwallex Pty Ltd ABN 37 609 653 312, located at Level 7, 15 William Street, Melbourne, Victoria 3000, Australia, is the promoter of this Promotion.

2. Eligibility Criteria

To be eligible for the Promotion, Participants must:

be a new Customer of Airwallex with less than 100 employees and an ABN;
be actively applying for and/or participating in a pre-accelerator or accelerator program or raising funding from a venture capitalist or similar;
have signed up by 31 August 2025 as a new Customer of Airwallex; and
have been onboarded by Airwallex as a new Customer following satisfaction of all our requirements (including the onboarding know-your-customer requests)

3. Promotion Details

Participants in this Promotion will benefit from:

AUD$50k fee free FX
- Eligible Participants will receive a waiver on standard customer mark-up/margin fees for the first A$50,000 equivalent of spot FX Conversions made using the Airwallex Account. This waiver does not apply to other transaction types, including Lock FX or Forward Contracts.
- The FX Promotional Limit will be calculated based on the currency sold to Airwallex, and may adjust for refunds, reversals, cancellations, mistaken payments, and other similar transactions.
1% cashback on all international spend using Airwallex cards, with no monthly spend threshold, for a time period of 6 months
- Eligible Participants will be entitled to receive a cash rebate (“Cashback”) equal to one (1) percent of all your eligible international transactions made using the Airwallex Card during the Promotion Period.
- The Cashback will be calculated in the transaction currency. If the transaction currency is not the same as your billing currency, the Cashback will be converted at the prevailing FX Exchange Rate (as defined in our Treasury Management Terms) into your billing currency on the last date of the relevant month when the international transactions took place, before it is credited to your account.
- The Cashback applies to both Company and Employee cards linked to the Participant’s account.
AUD$99 deposited into your Airwallex business account every month, for 6 months (dependent on a transaction greater than or equal to $0.01 cents for each month)

4. Promotion Period and Expiration

The Promotion Period commences on 30 April 2025, 00:00 AEST, and ends on 31 August 2025, 23:59 AEST, unless otherwise extended or shortened as notified by Airwallex. Airwallex reserves the right to amend these Terms or cancel, suspend, or amend this Promotion at any time without prior notice.

Once enrolled, the promotion benefits will be available for 6 months.

5. Fee Waivers

During the Promotion, the following fee waiver conditions apply:

The fee waiver for fees and margin on the first $50,000 AUD in FX conversions will be provided in the form of monthly cashbacks after you enrolled in the Promotion campaign through the link.

Please note that the fee waiver offer provided under this Promotion will expire 6 months following the approval of the Participant's Airwallex Account or when $50,000 AUD equivalent of FX currency conversions is reached, whichever comes first. To claim the fee waiver, Participants must complete a spot FX Conversion using their Airwallex Account within this 6-month period. Failure to claim the fee waiver within this timeframe will result in the forfeiture of the offer, and standard rates as shown on our Fee Schedule will apply to any transactions thereafter.

6. Acceptance

By participating in the Promotion, Participants accept these Terms and agree to be bound by them, effective as of the earliest of their written acceptance or the Email Confirmation date.

7. Exclusivity

This Promotion cannot be used in conjunction with any other offers unless specified by Airwallex.

8. Rights Reserved

Airwallex reserves the right to modify, suspend, or cancel the Promotion as necessary.

9. Termination

This Promotion expires on 30 September 2024 unless extended or shortened by Airwallex. This Agreement automatically terminates if the Participant's Customer Agreement with Airwallex is terminated for any reason. Airwallex reserves the right to amend these Terms or cancel, suspend, or amend this Promotion at any time without prior notice.

10. Use of Personal Information

Any personal information provided to Airwallex in connection with this Promotion will be used in accordance with our Privacy Policy.

11. Transferability

Participants may not transfer their rights or obligations under these Terms without our written consent.

12. No Third-party Rights

These Terms create rights and obligations only between the Participant and Airwallex; no third party may enforce any terms herein.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia, and Participants agree to submit to the exclusive jurisdiction of the courts in Victoria, Australia.

15. Additional General Terms

Indemnification: Eligible Participants agree to indemnify, defend and hold harmless the Airwallex group and its officers, directors, employees, advisors, agents, and subcontractors from and against any loss, damage or expense (including reasonable attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against the Airwallex group by a third party or suffered by the Airwallex group in connection with or as a result of the Eligible Participants’ breach of these Terms, failure to comply with applicable law or the Eligible Participants’ use or misuse of the Promotion.
Conflict Resolution: In the event of a conflict between these Terms and any Customer Agreement, these Terms shall prevail.
