Introduction

These Terms and Conditions ("Terms") govern your participation in the “Activation Reward” Campaign ("Campaign") offered by Airwallex (Hong Kong) Limited ("Airwallex," "we," "us," or "our"). These Terms are incorporated into and form part of the customer agreements between you ("Participant") and us ("Customer Agreements") regarding the use of our services ("Services") and shall be interpreted as such. Capitalised terms not defined herein shall have the meanings assigned to them in the Customer Agreements.

1. Promoter Details Airwallex (Hong Kong) Limited, located at 34/F, Oxford House, Taikoo Place, 979 King’s Road, Quarry Bay, Hong Kong, is the promoter of this Campaign.

2. Eligibility Criteria To be eligible for the Campaign, a Participant must: (the Participant who meets all the conditions and requirements under these Terms, an “Eligible Participant”)

2.1 Be a new or existing Airwallex user who has completed account sign-up and passed Airwallex’s KYC (Know Your Customer) checks;

2.2 Receive from Airwallex an email invitation to participate in the Campaign (“Airwallex Email Invitation”), including an offer to receive the Reward (as defined below), subject to the applicable conditions and requirements hereunder;

2.3 Within 14 days of the date of the Campaign invitation email:

• 2.3.1 follow the procedures outlined in the Airwallex Email Invitation to enroll in the Campaign, including clicking any required call-to-action (CTA); and
• 2.3.2 successfully deposit US$2,000 into the Participant’s Airwallex account.

2.4 Not be in breach of these Terms, the Customer Agreements or applicable laws; and

2.5 Receive written confirmation from Airwallex of meeting all the conditions and requirements set out herein.

3. Campaign Reward · The Eligible Participant will receive a one-time monetary reward of US$200 (“Reward”), credited directly to their Airwallex wallet. · The Reward is non-transferable, and is limited to one per Eligible Participant.

4. Reward Conditions · The Reward will only be credited to your Airwallex wallet upon meeting the conditions and requirements set forth herein, as confirmed in writing by Airwallex. · Airwallex reserves the right to withhold the Reward in cases of suspected fraud or misuse of the Campaign.

5. Campaign Period and Terms The Campaign commences on the date specified in the Airwallex Email Invitation. To qualify for participation in the Campaign, the Participant must follow the relevant procedures to enroll in the Campaign and deposit the required amount into their Airwallex account within the time limit specified in the ‘Eligibility Criteria’ section above. Failure or delay in following the relevant procedures to enroll in the Campaign or making the deposit will result in disqualification from the Campaign. Airwallex reserves the right to modify or terminate the Campaign at any time with prior notice.

6. Acceptance By participating in this Campaign, you acknowledge and agree to be bound by these Terms, as well as the Airwallex Customer Agreement. Your participation in the Campaign constitutes your acceptance of these Terms. If you do not agree to these Terms, you must not participate in the Campaign.

7. Exclusivity This Campaign cannot be used in conjunction with any other offers unless specified by Airwallex.

8. Rights Reserved Airwallex reserves the right to modify, suspend or cancel the Campaign as it deems necessary.

9. Use of Personal Information Any personal information provided to Airwallex in connection with this Campaign will be used in accordance with our Privacy Policy and applicable laws.

10. Transferability Without our prior written consent, the Participant must not transfer any of its rights or obligations under these Terms.

11. No Third-party Rights These Terms create rights and obligations only between the Participant and Airwallex. No person other than the Participant and Airwallex will have any right under the Contracts (Rights of Third Parties) Ordinance (Hong Kong Law Cap 623) to enforce or enjoy the benefit of any of the provision of these Terms.

12. Governing Law and Jurisdiction These Terms are governed by and construed in accordance with the laws of Hong Kong.

14. Additional General Terms

Indemnification:The Participant shall indemnify, defend and hold harmless Airwallex, each other member of the Airwallex Group and their respective officers, directors, employees, advisors, agents and subcontractors (“Indemnified Persons”) from and against any loss, damage or expense (including attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against any Indemnified Person by a third party or suffered by any Indemnified Person in connection with or as a result of the Participant’s breach of these Terms or the Customer Agreements or failure to comply with applicable law or the Participant’s use or misuse of the Campaign.

Limitation of Liability: To the maximum extent permitted by applicable law, neither Airwallex nor any of its Affiliates will be liable to you, your Affiliates or any other person in relation to these Terms (during and after the term of these Terms), whether in contract, negligence, strict liability, tort or other legal or equitable theory, for losses, damages or costs.

Conflict Resolution: In the event of a conflict between these Terms and any Customer Agreement, these Terms shall prevail.
