“Spend Cashback 2025” Campaign Terms and Conditions

Introduction

These Terms and Conditions ("Terms") govern your participation in the “Spend Cashback Campaign 2025 ” Campaign ("Campaign") offered by Airwallex Pty Ltd ("Airwallex," "we," "us," or "our"). These Terms are incorporated into and form part of the customer agreements between you ("Participant", “you”) and us ("Customer Agreements") regarding the use of our services ("Services") and shall be interpreted as such. Capitalised terms not defined herein shall have the meanings assigned to them in the Customer Agreements.

Promoter Details

Airwallex Pty Ltd (ABN 37 609 653 312) located at 7/15 William St, Melbourne VIC 3000, is the promoter of this Campaign.

Eligibility Criteria

To be eligible for the Campaign, a Participant must satisfy all of the following conditions (a Participant who meets all the conditions and requirements under these Terms is an “Eligible Participant”):

• For New Customers:

  • The Participant has not signed up to an Airwallex account prior to participating in the Campaign.

  • The Participant has used the Campaign link on the Airwallex website or Airwallex marketing material to successfully create an account with Airwallex (“Account Creation”) [between 20 August and 31 October 2025] (“Campaign Period”).  

  • The Participant has submitted to Airwallex all the know-your-customer (“KYC”) documentation as requested by Airwallex for purposes of Airwallex verifying the Participant’s business and has received a written KYC submission approval from Airwallex (“Approval”) within the Campaign Period.

• For Existing Customers:

  • The Participant is an existing customer of Airwallex on the Explore tier who holds accounts exclusively on the Explore tier and does not maintain any Airwallex account on any other tier.

  • The Participant is not subject to any outstanding KYC requests from Airwallex.

  • The Participant has received an email invitation directly from Airwallex (“Invitation Email”) to participate in the Campaign.

  • The Participant signs up to move from the Explore tier to the Grow tier [between 20 August and 31 October 2025 (“Transition Date”)].

• The Participant is or becomes a customer of Airwallex Pty Ltd.

• The Participant is in compliance with these Terms, the Customer Agreements and applicable laws. 

• The Participant has received written confirmation from Airwallex that they meet all the conditions and requirements set out herein.

Campaign Reward

• The Eligible Participant will be entitled to receive 10% rebate on Eligible Transactions up to a total value of AUD $450 (‘Cashback Reward’) . 

• The Eligible Participants who are Existing Customers will, in addition to being entitled to the Cashback Reward, be entitled to an exemption of the subscription fee for the Grow Tier for a period of one (1) month commencing on the Transition Date (‘Free Subscription’, together with the Cashback Reward, the ‘Reward’). For the avoidance of doubt, upon expiry of the Free Subscription period, the Eligible Participant shall automatically remain subscribed to the Grow Tier (and will be charged the subscription fees applicable to the Grow Tier, as set out in the Fee Schedule) unless the Eligible Participant manually downgrades the subscription plan prior to the expiry of the Free Subscription period.

• Eligible Transactions are transactions made with an Airwallex Employee Card within the period of ninety (90) days starting from, (1) in respect of the New Customers, the date of Approval; and (2) in respect of the Existing Customers, the Transition Date (“Reward Period”), excluding the transactions listed under Rights Reserved (‘Eligible Transactions’). 

• The Cashback Reward will be in the currency of the Eligible Transaction. 

• The Cashback Reward will be credited directly to your Airwallex wallet within 30 days from the date of the Eligible Transaction.

• Once the Reward Period expires or the aggregate value of the Cashback Reward has reached AUD $450 or you are no longer an Eligible Participant (whichever occurs first), you will no longer be able to earn the Cashback Reward and any unused part of the Reward will be cancelled. In the event that you cease to be an Eligible Participant, you will no longer be entitled to any Free Subscription.

• If Existing Customers were receiving another cashback reward before the Campaign Period, that cashback reward will be suspended during the Reward Period and will be reactivated after the Reward Period expires if the Existing Customer is still an eligible participant under the terms of that cashback promotion.

• The Reward is non-transferable, cannot be exchanged for cash, and is limited to one per Eligible Participant.

• During the Reward Period, other fees as set out in the Fee Schedule may apply depending on the Services you use. 

Reward Conditions

• The Reward will only be activated in your Airwallex account after the relevant conditions are met.

• Any incomplete steps, such as incomplete KYC or the conditions or requirements herein, will disqualify the Participant from the Reward.

• Airwallex reserves the right to withhold the Reward in cases of suspected fraud or misuse of the Campaign or any breach by you of these Terms, the Customer Agreements or applicable laws.

• Airwallex reserves the right to modify or terminate the Campaign at any time with notice.

Acceptance

By participating in this Campaign, the Participant acknowledges and agrees to be bound by these Terms and the applicable terms in the Customer Agreements. Participation in the Campaign constitutes their acceptance of these terms. If a Participant does not agree to these terms, they must not participate in the Campaign. 

Exclusivity

This Campaign cannot be used in conjunction with any other offers, discounts, packages or promotions (as may be launched by Airwallex from time to time), unless specified by Airwallex in writing.

Rights Reserved

Airwallex reserves the right to modify, suspend, or cancel the Campaign as it deems necessary.

The eligibility of transactions for the purpose of the Promotion is determined by Airwallex in its sole and absolute discretion from time to time. Airwallex shall not be liable to determine the eligibility of any transactions for the Promotion before they are made by the Eligible Customer.

Eligible Transactions exclude transactions including, but not limited to, those prohibited under the Customer Agreements and/or the Acceptable Use Policy and transactions of similar nature as may be determined by Airwallex in its sole discretion at any time. Eligible Transactions also exclude unposted, canceled, suspended, refunded, unauthorised, chargeback transactions, and any other transaction as designated by Airwallex from time to time. Eligible Transactions also exclude:

• Cash or cash-like transactions, like ATM withdrawals, or cashbacks and purchases of gift vouchers

• Balance transfers 

• Gambling transactions, including bookmakers and casinos

• Payments connected to commodities, investments, savings or cryptoassets

• Payments to government bodies or tax authorities

• Payments to financial institutions (like a credit card provider)

Cashbacks may be reversed if any Eligible Transactions (in whole or in part) are subsequently canceled, suspended, frozen, or refunded. Airwallex also reserves the right to debit the cashback from your account without prior notice if any fraud, abuse, or unlawful conduct has occurred.

Use of Personal Information

Any personal information provided to Airwallex in connection with this Campaign will be used in accordance with our Privacy Policy and applicable laws.

Transferability

Participants may not transfer their rights or obligations under these Terms without our prior written consent.

No Third-party Rights

These Terms create rights and obligations only between the Participant and Airwallex. No person other than the Participant and Airwallex will have any right under the Contracts or enjoy the benefit of any of the provision of these Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia.

Additional Terms

• Indemnification: The Participant shall indemnify, defend and hold harmless Airwallex, each other member of the Airwallex Group and their respective officers, directors, employees, advisors, agents and subcontractors (“Indemnified Persons”) from and against any loss, damage or expense (including attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against any Indemnified Person by a third party or suffered by any Indemnified Person in connection with or as a result of the Participant’s breach of these Terms or the Customer Agreements, failure to comply with applicable law or the Participant’s use or misuse of the Campaign.

• Limitation of Liability: To the maximum extent permitted by applicable law, neither Airwallex nor any of its Affiliates will be liable to you, your Affiliates or any other person in relation to these Terms (during and after the term of these Terms), whether in contract, negligence, strict liability, tort or other legal or equitable theory, for losses, damages or costs. 

• Conflict Resolution: In the event of a conflict between these Terms and any Customer Agreement, these Terms shall prevail.
