Airwallex x Ninja Cashback Campaign Terms & Conditions

1. These terms and conditions (‘Terms’) set out the terms and conditions of your (‘you’ or ‘your’) participation in the Airwallex x Ninja Cashback Campaign operated by Airwallex (Singapore) Pte. Ltd. (‘Airwallex’) and Ninja Logistics Pte. Ltd. (‘Ninja’) (‘Promotion’). The Promotion allows you to receive a Cashback (defined in clause 7 below) from Airwallex into your Airwallex Account, subject to your eligibility under, and compliance with, these Terms.

2. By participating in the Promotion and/or receiving a Cashback, you acknowledge and agree to these Terms.

Who is eligible to participate in the Promotion

3. You are eligible to participate in the Promotion and become an “Eligible Customer” if all of the following requirements are satisfied:

• You have enrolled in the Promotion through the dedicated page for the Promotion via this link: https://www.airwallex.com/sg/partner/sg-2023-ninjavan-25-percent during the Promotion Period (as defined below);

• You are a new or existing valid account holder of Ninja;

• You have signed up as a new customer of Airwallex and you have been onboarded by Airwallex following satisfaction of all requirements from Airwallex (including the onboarding Know Your Customers (KYC) requests) during the Promotion Period;

• You are a company incorporated in Singapore with a valid business registration certificate; and

• You are not an existing customer of Airwallex’s and/or its affiliates at the time of enrolling in the Promotion.

4. Airwallex and Ninja reserves the right to refuse any Eligible Customers their participation in the Promotion for any reason and without any prior notice.

What is the Promotion Period? 5. Subject to these Terms, the Promotion commences at 00:01 SGT on 7 March 2023 and ends at 23:59 SGT on 7 June 2023 (‘Promotion Period’).

What is the Promotion? 6. An Eligible Transaction is any payment that is transacted directly with Ninja for the purpose of topping up the Eligible Customer’s Ninja Wallet, using the Eligible Customer’s Airwallex Card within sixty (60) calendar days of the Eligible Customer’s date of Account Approval.

7. Eligible Customers will be entitled to receive a cash rebate (‘Cashback’) equal to twenty-five (25) percent on an Eligible Transaction (or Eligible Transactions), capped at the first SGD 800 (or its equivalent in a different currency) spent, made using the Airwallex Card for each month during the first two months from the date of Account Approval.

8. Any Cashback that you are entitled to pursuant to these Terms will be credited to your Airwallex account in SGD currency.

9. For the avoidance of doubt, the Eligible Customer can also enjoy the Cashback if the following requirements are met (i) the Eligible Customer who has enrolled in the Promotion on or before the last day of the Promotion Period (including applications submitted with incomplete documents and approved by Airwallex eventually) and (ii) transacts on Eligible Transactions using an Airwallex Card issued to you in connection with the Promotion after the Promotion Period (but within sixty (60) calendar days period specified in clause 6 above.

10. Airwallex, acting reasonably, may at any time and without prior notice to you, disqualify a transaction as an Eligible Transaction where it becomes necessary to do so (for instance, in accordance with our terms and policies, including Airwallex’s Acceptable Use Policy, which is available here: https://www.airwallex.com/sg/terms/acceptable-use-policy).

When will you receive the Cashback?

11. Airwallex will monitor your Eligible Transactions and determine your eligibility for a Cashback during the Promotion Period. If you are eligible for the Cashback, the Cashback will be credited to your Airwallex Account by the end of the calendar month immediately following the month of you spending on Eligible Transactions using an Airwallex Card.

Does it cost to participate in the Promotion?

12. Airwallex does not charge you to participate in the Promotion.

13. Airwallex and Ninja accept no responsibility for any tax implications that may arise from your receipt of a Cashback. You should seek independent financial advice on any potential tax impacts of this Promotion on you.

What are some other restrictions you should know?

14. Unless otherwise agreed in writing with you, Cashbacks in connection with the Promotion cannot be transferred, exchanged for cash or money, or be used in conjunction with any other discount, package, promotions, offers or discounted items. We reserve the right (in our absolute discretion) to reverse any Cashback that has been credited to you, if any Eligible Purchases are subsequently cancelled, suspended, frozen or refunded in accordance with our terms and policies.

Termination and changes

15. You acknowledge and agree that your participation in the Promotion is not guaranteed and may be revoked at any time in Airwallex’s sole discretion in accordance with these Terms.

16. Airwallex and Ninja may at any time and without prior notice, cancel, suspend, or change the Promotion where it reasonably considers it necessary to do so (for example, if we determine that the Promotion is no longer commercially feasible or because it may violate any applicable law). However, such discontinuation, suspension or change will not affect any Cashback that you have already validly earned as at the time of such discontinuation, suspension or change in accordance with these Terms.

17. Further, Airwallex reserves the right, at our sole discretion and to the fullest extent permitted by applicable law, to disqualify you from participating in the Promotion if we suspect that you are using (or enabling another entity to use) the Promotion in a fraudulent or unlawful manner or for a fraudulent or unlawful purpose, or if you are in breach of any of these Terms or any other terms and conditions that you have agreed to with Airwallex, and cancel, suspend, or change these Terms as appropriate to mitigate against further occurrences of such fraudulent or unlawful conduct.

18. If Airwallex reasonably believes that a change to any part of the Promotion will have a detrimental impact on you, Airwallex will provide you with fourteen (14) days’ notice of such change. You acknowledge and agree that such notice may be given to you:

• via the Airwallex website;
• via the Airwallex Webapp; and/or
• by direct electronic communications sent to your nominated electronic mailing address.

Privacy

19. Any personal information that you disclose to us in connection with the Promotion will be handled in accordance with our Privacy Policy (available at https://www.airwallex.com/terms/privacy-policy).

20. By participating in the Promotion, you expressly consent that any personal information that you provide, may be shared between Airwallex and Ninja for purposes of the Promotion and all related administrative actions in connection therewith.
