POS Payments Terms
These POS Payments Terms (“POS Terms”) supplement and form an integral part of the Payment Terms or the Master Service Agreement entered into by and between the Customer and Airwallex, as applicable (the “Agreement”) and govern the Customer’s access to and use of the POS Payment Services, including the purchase and use of Payment Terminals.
In interpreting these POS Terms:
a. Capitalised words within these POS Terms shall have the same meaning as provided for within the Agreement; and
b. In the event of any conflict between the provisions of these POS Terms and the Payment Terms, these POS Terms shall prevail, but only to the extent necessary to resolve such conflict.
1. POS Payments Services
1.1 Provision of Services. Subject to the Customer’s compliance with the Agreement and these Terms, Airwallex may provide the Customer with access to the Point-of-Sale (“POS”) Payment Services, as part of the Services. In connection with the POS Payment Services, Airwallex will make available Payment Terminals and the associated POS Software necessary to facilitate in‑person payment acceptance.
2. Payment Terminals
2.1 Ordering. Eligible merchants may order Payment Terminals via the Airwallex Webapp or relevant APIs. Airwallex may accept or reject any order at its sole discretion, and all orders are subject to availability. The Payment Terminals are manufactured by a third party and resold by Airwallex.
2.2 Delivery. Payment Terminals will be delivered by a third-party carrier selected by Airwallex to the address specified by the Customer. Airwallex will inform the Customer of the shipping fees (if any) and estimated delivery times. Delivery times are estimates only and Airwallex is not liable for any delays caused by the carrier or other events outside of Airwallex's control. If a Payment Terminal is returned to Airwallex due to the Customer’s failure to accept delivery (e.g., incorrect address, absence), the Customer will be responsible for any additional costs incurred for redelivery.
2.3 Activation. The Customer must complete the initial setup to activate the Payment Terminal for card payment acceptance. This involves launching the Airwallex POS application on the Payment Terminal, generating a Pairing Code, and subsequently entering the Pairing Code into the Airwallex Webapp to establish a connection with the Customer’s Airwallex Account.
2.4 Storage and security. The Customer is responsible for the physical security of the Payment Terminals and for preventing unauthorized access or use. The Customer must store Payment Terminals securely, maintain them in good working condition, and use them in accordance with Airwallex’s instructions and guidelines. The Customer must immediately report any tampering, loss, theft or misuse of a Payment Terminal to Airwallex via email at [email protected].
2.5 Supported Payment Methods. Airwallex will make reasonable efforts to support commonly used payment methods, but Airwallex does not guarantee the availability of any specific payment method. Airwallex may add or remove Supported Payment Methods at any time.
2.6 Warranty: Airwallex provides a six-month limited warranty on Payment Terminals, from the date of delivery. This warranty covers repair or replacement of the defective terminal, at Airwallex's discretion. Damage resulting from misuse, unauthorized modifications, or external factors is not covered. 3. POS Software
3.1 Software. As part of the POS Payment Services, Airwallex will provide and maintain the relevant software and firmware for the operation of the Payment Terminal (the “POS Software”). The POS Software enables access to Airwallex’s payment processing and other related services. Airwallex may decide to end support of the POS Software by providing reasonable prior written notice.
3.2 Updates. Airwallex may, from time to time, implement updates or upgrades to the POS Software. These updates may be installed remotely by Airwallex and/or may require actions from the Customer. The Customer agrees to promptly perform any actions necessary to ensure the most recent POS Software is installed on the Payment Terminal. Failure to install required updates may result in the POS Software becoming unusable, non-compliant with applicable standards, and may result in termination or suspension of the Customer’s access to the POS Payment Services.
3.3 Intellectual Property. Airwallex retains ownership of all intellectual property rights in the POS Software. Airwallex hereby grant the Customer a limited, non-exclusive, royalty-free licence, to use and to permit the Customer’s relevant Affiliates and subcontractors to use, the POS Software including all intellectual property rights contained in the same, solely on Payment Terminals provided by Airwallex and solely for the purpose of processing payments through the POS Payment Services. The provisions of Clause 14 (Intellectual Property Rights) of the Treasury Management Terms apply to the POS Software.
4. Pricing
4.1. Device Pricing. The Customer agrees to pay all applicable fees for the purchase of the Payment Terminals, as specified in the Fee Schedule or as otherwise communicated to the Customer by Airwallex. Additional costs, such as shipping and taxes, may apply.
4.2 Transaction Fees: The Customer will be charged fees for transactions processed through the POS Payment Services, as set forth in the Fee Schedule or as otherwise communicated to the Customer by Airwallex.
5. Support
5.1 Airwallex will provide commercially reasonable technical support for the Payment Terminals and POS Software during its regular business hours, including remote software updates and troubleshooting assistance. This support does not include on-site assistance or training for the Customer’s staff.
6. Use of Payment Terminals and POS Software
6.1 Permitted Use: The Customer may only use the Payment Terminals and POS Software:
(a) in accordance with the Agreement, any applicable documentation provided by Airwallex, and in compliance with all applicable laws, regulations, Scheme Rules, and industry standards;
(b) to process legitimate payment transactions for goods or services sold to the Customer’s customers in the ordinary course of the Customer’s business as registered with Airwallex; and
(c) within the country where the Customer’s business is located, as registered with Airwallex.
6.2 Prohibited Use: The Customer must not, and must not permit any third party to:
(a) use the Payment Terminal and/or the POS Software for any purpose other than facilitating POS Payments in accordance with clause 6.1 (Permitted Use);
(b) resell, rent, lease, or distribute the Payment Terminal or POS Software, except where expressly authorized by Airwallex in writing;
(c) copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Payment Terminal or POS Software;
(d) attempt to bypass any security measures in the Payment Terminal or POS Software; and
(e) use a Payment Terminal in any jurisdiction where Airwallex is not licensed or legally permitted to operate.
6.3 Care and Maintenance: The Customer is responsible for:
(a) taking reasonable care of the Payment Terminals, protecting them from damage, loss, and theft, and following Airwallex's instructions for use, handling, and maintenance;
(b) not altering, modifying, removing components from, or otherwise tampering with the Payment Terminals or POS Software without Airwallex's prior written consent; and
(c) ensuring the Payment Terminal has sufficient connectivity to use the POS Payment Services.
6.4 Inspection: The Customer acknowledges and agrees that Airwallex, or its authorized representatives may, upon reasonable notice, inspect the Payment Terminals to verify compliance with these Terms.
7. Limitation of Liability
7.1 In addition to the limitations set forth in the Agreement, and to the fullest extent permitted by applicable law, Airwallex shall not be liable for any loss, damage, or expense arising out of or relating to any malfunction, error, failure, interruption, or unavailability of the Payment Terminal or POS Software, including, but not limited to, lost profits, lost revenue, loss of data, or business interruption.
8. Termination
8.1 This termination clause supplements the termination clause of the Agreement. Termination of the Agreement automatically terminates these Terms and all rights to use the POS Payment Services, Payment Terminals, and POS Software.
8.2 In addition to its suspension and termination rights under the Agreement, Airwallex may, with immediate effect, suspend or terminate the Customer’s access to the POS Payment Services, Payment Terminals, and POS Software if Airwallex ends support for the specific Payment Terminal model or POS Software version the Customer is using.
8.3 Upon termination of these Terms, the Customer retains ownership of any purchased Payment Terminals. However, the Customer’s access to the POS Payment Services, including the POS Software, will be terminated and Airwallex reserves the right to remotely disable Payment Terminals if required for security or regulatory reasons, or to comply with Scheme Rules.
9. Definitions
"Payment Terminal" means a point-of-sale physical device provided by Airwallex that is used to process in-person card payments.
"POS Payment Services" means the services provided by Airwallex that enables the Customer to accept in-person payments from the Customer’s customers using Payment Terminals and the POS Software.
"POS Software" means the software and firmware provided by Airwallex that runs on the Payment Terminal and enables the processing of payments and connectivity to the Airwallex Platform, including any updates, upgrades, or modifications thereto.
"Supported Payment Methods" means the types of payment cards and other payment methods (e.g., contactless payments, mobile wallets) that are supported by the POS Payment Services, as may be updated by Airwallex from time to time.
